Terms of Service

These terms govern your use of the Ascend Retail platform, the public website at ascendpartnergroup.com, and any related services (collectively, the "Service"). The Service is operated by Ascend Partners Group LLC, a limited liability company.

1. Agreement

By creating an account, authorizing the Service against your Amazon Selling Partner credentials, or otherwise using the Service, you agree to these terms on behalf of yourself and the entity you represent. If you do not agree, do not use the Service.

Where you have signed a separate master services agreement with Ascend Partners Group LLC, the terms of that agreement control where they conflict with this document.

2. Service Access

  • You receive a limited, non-exclusive, non-transferable, revocable right to access the Service for the duration of your subscription.
  • You may not resell, rent, sublicense, or expose the Service to third parties as a hosted offering.
  • You may not reverse engineer, decompile, or otherwise attempt to derive source code, except where applicable law expressly permits.
  • Documentation and marketing materials are provided for reference and may be downloaded for internal review only.

3. Acceptable Use

You agree to use the Service in accordance with all applicable laws and the policies of any marketplace you connect through it (notably Amazon's Acceptable Use Policy and Data Protection Policy). You agree that you will not:

  • Use the Service to access data belonging to a seller who has not authorized you.
  • Probe, scan, or otherwise test the security of the Service except under a written authorization from us.
  • Interfere with the integrity or performance of the Service or other tenants on it.
  • Use the Service to send unsolicited communications or content prohibited by marketplace policy.
  • Upload material to the Service for which you do not hold the necessary rights.

Repeated or material breach of this section is grounds for suspension under §6.

4. Intellectual Property and Licensing

All software, documentation, designs, and trademarks comprising the Service remain the property of Ascend Partners Group LLC or its licensors. The Service is licensed, not sold, to you.

Data you submit to the Service remains yours. You grant us a limited license to process that data for the sole purpose of operating the Service on your behalf, as described in our Privacy Policy.

Any feedback you submit may be used by us to improve the Service without obligation to you, provided it does not include your confidential information.

5. Liability and Warranty Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, Ascend Partners Group LLC disclaims all warranties, whether express, implied, statutory, or otherwise, including any warranty of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or compatible with any third-party system you choose to connect.

To the maximum extent permitted by applicable law, our aggregate liability under or in connection with these terms, regardless of the legal theory invoked, is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of business, or loss of data.

You agree to defend and indemnify Ascend Partners Group LLC against any third-party claim arising from your use of the Service in breach of these terms or applicable law.

6. Termination

Either party may terminate the agreement at any time with thirty (30) days' written notice. We may suspend or terminate the Service immediately if you breach §3, fail to pay invoiced amounts when due, or if continuing to provide the Service would expose us to legal liability or marketplace-policy violation.

On termination, your account is disabled and the data deletion schedule described in our Privacy Policy begins. SP-API refresh tokens are revoked immediately.

7. Governing Law and Contact

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved through good-faith negotiation is subject to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
